What you'd do

The Division of Corporation Finance, Disclosure Review Program (DRP) is seeking an early career Law Clerk (Disclosure Review Law Clerk) with strong analytical skills and attention to detail. The DRP is organized as nine Industry Offices. As a Law Clerk, you will assist on a variety of matters within one of the nine Industry Offices in the DRP.

Major duties

In this role as a Law Clerk, you will be responsible for: Interpreting registration and reporting requirements of the Securities Act and the Exchange Act. Reviewing filings and reports required by the Securities Act, including initial public offerings, and the Exchange Act and available exemptions from the registration requirements of the Securities Act. Developing ideas and recommendations addressing significant issues under the Federal securities laws. Recognizing, analyzing, and resolving complex disclosure issues in registration statements and periodic reports filed with the Commission. Drafting and editing precise and well-organized documents, such as examination reports and letters detailing findings. Working directly with corporate officers, underwriters, public accounting firms and counsels.

Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional, philanthropic, religious, spiritual, community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. All qualification requirements must be met by the closing date of this announcement. BASIC REQUIREMENT: J.D. or LL.B degree: MINIMUM QUALIFICATION REQUIREMENT: To be considered for this position, applicants must have successfully completed a full course of study at a school of law accredited by the American Bar Association (ABA) or have the first professional law degree (LLB) by closing date of the vacancy announcement. Bar Certification: To be considered for this position, applicants must not be barred/licensed on the closing date of this vacancy announcement but must be able to obtain their Bar/License Certification within 14-months of their appointment. Once obtained, applicants will be converted into a permanent position. ACCOMPLISHMENT RECORD COMPETENCIES: Your Accomplishment Record narratives should address the following competencies.
